1 Acceptance of Terms

Welcome to Daylight Medical ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at daylightmed.com, our applications including Daylight Company SMA (Meta App ID: 888759557354551) accessible at sma.daylightmed.com, and any related services, features, or content (collectively, the "Service").

Daylight Company SMA is our social media management application used to communicate with our customers — hospitals, healthcare facilities, and medical equipment distributors — through Instagram Direct Messages and other Meta platform messaging channels.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Service. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

2 Description of Service

Daylight Medical is a medical equipment trading company based in Erbil, Iraq, founded in 2009. We provide:

• Medical equipment supply and distribution (gas systems, sterilization, operating theaters, sliding doors, pneumatic systems)
• A corporate website for product information, news, and company details
• Social media integrations and content sharing capabilities, including through third-party platforms such as TikTok, Facebook, and Instagram
• Customer support and communication tools, including Daylight Company SMA — our social media management application for responding to customer inquiries via Instagram Direct Messages and Meta platform messaging

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3 User Accounts

Certain features of the Service may require you to create an account or authenticate through a third-party platform (such as TikTok or Facebook). When creating or using an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

5 User Content

You may submit, post, or transmit content through the Service ("User Content"). By submitting User Content, you:

• Retain ownership of your User Content
• Grant us a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, modify, display, and distribute your User Content in connection with the Service
• Represent and warrant that you own or have the necessary rights to submit the User Content
• Agree that your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights

9 Privacy & Data Use

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

When using TikTok integrations, we may collect and process data from TikTok in accordance with both our Privacy Policy and TikTok's data policies. We handle all user data responsibly and in compliance with applicable data protection laws.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any errors will be corrected.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAYLIGHT MEDICAL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

13 Indemnification

You agree to defend, indemnify, and hold harmless Daylight Medical and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

14 Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Iraq, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Erbil, Kurdistan Region, Iraq.

16 Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on this page with a new "Last Updated" date.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
